seller policy

PAI B2B — Seller Policy Effective Date: October 16, 2026 1. Introduction Welcome to PAI B2B, a B2B marketplace initially focused on connecting Mexican factories, manufacturers, and suppliers with buyers around the world. This Seller Policy establishes the rules and responsibilities that apply to sellers who register, list products, and conduct business through PAI B2B. By registering as a seller or listing products on our platform, you agree to comply with this Seller Policy, our Terms of Service, our Shipping, Returns & Buyer Protection Policy, and all applicable laws. Our objective is to create a professional, transparent, and reliable business environment for buyers and sellers. 2. Free Product Listing PAI B2B allows sellers to list products without monthly or annual subscription fees. Our seller fee structure is designed to make it easier for businesses to join the platform and reach potential buyers. No monthly subscription fees. No annual subscription fees. No product listing fees. A 4% platform commission on successful sales, subject to the applicable commission terms. Sellers are responsible for any separately disclosed payment processing, shipping, customs, tax, or other applicable charges. PAI B2B may update its fee structure by providing notice in accordance with its applicable terms and laws. Any changes will apply as specified in the relevant notice. 3. Seller Registration and Business Information Sellers must provide accurate, complete, and up-to-date information when creating an account. This may include: Legal business or company name. Business address and country. Contact details and authorized representative information. Business registration documents, where required. Product and manufacturing information. Additional verification documents reasonably required for compliance or security purposes. Sellers must not impersonate another business, submit fraudulent documents, or misrepresent their identity or business operations. PAI B2B may request additional information to verify a seller's business before or during platform use. 4. Product Listing Requirements Sellers must ensure that every product listing accurately represents the product being offered. Listings should include, where applicable: Product name and description. Clear and authentic product photographs or videos. Material, dimensions, specifications, and quality details. Available quantities and minimum order quantities. Pricing and applicable currency. Manufacturing location or country of origin, where relevant. Production lead time and estimated shipping arrangements. Customization options, if available. Relevant certificates or compliance information, where legally required. Sellers must not upload misleading images, provide false specifications, advertise unavailable products as available, or make unsupported claims about product quality, certifications, or manufacturing capabilities. 5. Product Quality and Accuracy Sellers are responsible for ensuring that products supplied to buyers match the agreed product description, specifications, quantity, and order terms. Products must be genuine, lawful to sell, and compliant with applicable product safety, labeling, intellectual property, and export requirements. Counterfeit goods, unauthorized replicas, prohibited products, and products offered in violation of applicable laws are not permitted. If a seller offers customized or made-to-order products, the specifications and agreed requirements must be clearly documented before production or shipment. 6. Pricing and Order Acceptance Sellers must provide accurate pricing and clearly communicate any applicable minimum order quantities, customization costs, production charges, and other relevant commercial conditions. Before accepting an order, sellers should ensure that they can fulfill it according to the agreed specifications and timeline. Once an order has been accepted, sellers must not unilaterally change the agreed price or materially alter the product specifications without the buyer's agreement. Any changes to an order should be documented through the platform or another approved communication process. 7. Shipping and Delivery Responsibilities Sellers are responsible for preparing and shipping accepted orders in accordance with the agreed order terms. Sellers must: Package products appropriately for the intended shipment. Ship the correct products and quantities. Provide accurate shipping and dispatch information. Use the agreed shipping method or obtain the buyer's agreement before changing it. Provide tracking information or shipping documentation when available. Communicate promptly about delays, production issues, or delivery problems. Comply with applicable export, customs, labeling, and shipping requirements. Estimated delivery dates should be reasonable and based on the seller's actual production and shipping arrangements. Sellers must not falsely report an order as shipped or provide fabricated tracking information. 8. Payment Hold and Seller Payouts To support a more reliable transaction process, PAI B2B intends to work with payment service providers that support the applicable payment-hold and payout arrangements. Where the selected provider and approved transaction structure support this functionality, buyer payments may be held until the relevant delivery and order confirmation conditions have been satisfied. Sellers agree that their funds may remain on hold while an order is being delivered or a legitimate transaction dispute is being reviewed, subject to the payment provider's rules and applicable law. Sellers must not attempt to bypass the approved payment process or misrepresent delivery or order completion to obtain an early payout. Payment release timing, refunds, chargebacks, and dispute-related restrictions are governed by the applicable payment provider terms and transaction policies. 9. Platform Commission PAI B2B charges a 4% platform commission on successful sales under its applicable commission terms. Sellers authorize the platform or its designated payment provider to collect the applicable commission through the approved transaction process, where supported. The commission calculation, applicable transaction value, treatment of refunds, and any other charges will be explained in the relevant fee terms. If an order is cancelled or refunded, commission adjustments will be handled according to the applicable commission and refund policies. 10. Returns, Incorrect Products, and Refunds Sellers must cooperate with PAI B2B when a buyer reports a product that is incorrect, defective, damaged, or materially different from the agreed order. When a complaint is submitted, sellers may be required to provide order records, product specifications, shipping information, photographs, videos, or other relevant evidence. If PAI B2B's review establishes that an incorrect or non-compliant product was supplied due to the seller's error, the seller will be responsible for the approved return shipping costs, subject to the applicable transaction terms and law. The seller must cooperate with the return process and any approved refund or replacement arrangement. Depending on the circumstances and applicable policies, the buyer may be offered: A refund to the original payment method. An approved purchase credit, where available. A replacement or new order, where agreed and available. Sellers must not pressure buyers to withdraw legitimate complaints or prevent them from contacting PAI B2B. 11. Buyer Complaints and Dispute Resolution Sellers must respond professionally and promptly to buyer complaints and reasonable requests for clarification. When PAI B2B requests information concerning a dispute, the seller must provide accurate information and cooperate with the review process. PAI B2B may assess the evidence submitted by both parties and determine the appropriate next steps under its published policies, the applicable order terms, and relevant payment provider procedures. Where permitted by the payment arrangement, funds associated with a disputed transaction may remain on hold until the matter is resolved. Nothing in this Policy removes any mandatory legal rights or remedies available to a buyer or seller. 12. Prohibited Seller Activities Sellers must not: Provide false business information or misleading product descriptions. Sell counterfeit, stolen, prohibited, or unlawful products. Manipulate reviews, orders, or transaction records. Submit fraudulent shipping or delivery evidence. Misuse buyer information or disclose confidential business information without authorization. Engage in fraud, scams, harassment, or discriminatory conduct. Attempt to circumvent applicable platform fees or payment rules. Use the platform to violate intellectual property rights or applicable laws. PAI B2B may investigate suspected violations and take proportionate action in accordance with its terms and applicable law. 13. Seller Account Suspension or Termination PAI B2B may restrict, suspend, or terminate a seller account when there is credible evidence of fraud, repeated policy violations, unlawful activity, serious buyer complaints, or risks to platform security. Where appropriate and legally permitted, sellers may be notified of the reason for the action and given an opportunity to respond. Outstanding orders, refunds, disputed funds, and seller payouts will be handled according to the applicable payment provider terms, transaction policies, and legal obligations. Account suspension or termination does not automatically remove obligations arising from previously accepted orders. 14. Data Protection and Confidentiality Sellers must use buyer information only for legitimate purposes related to fulfilling orders, communicating about transactions, and meeting legal obligations. Sellers must protect confidential business information and personal data against unauthorized access, disclosure, misuse, or loss. Buyer information must not be sold, misused for unrelated marketing, or shared with unauthorized third parties. Sellers must comply with applicable privacy and data protection laws when handling buyer information. 15. Changes to This Seller Policy PAI B2B may update this Seller Policy as its platform, services, and legal obligations evolve. Material changes will be communicated where required by applicable law or our contractual terms. The updated policy will state its effective date. Continued use of the platform after changes take effect will be subject to the applicable terms and legal requirements. 16.
